BIG NIGHT OUT SWEEPSTAKES OFFICIAL RULES

 

NO PURCHASE NECESSARY.

Void where prohibited by law. Open to legal residents of the 49 States of the U.S. & D.C. (excluding Rhode Island), 13 years or older at time of entry.

 

1. Eligibility: Big Night Out Sweepstakes (the "Sweepstakes") is open only to permanent legal residents of the fortynine (49) United States (excluding Rhode Island) and the District of Columbia who are at least thirteen (13) years old at the time of entry. Employees of iMedia International Inc., Sony Pictures Television Inc. and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Subject to all applicable federal, state, and local laws and regulations. Void where prohibited. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

 

2. Sponsor: iMedia International, Inc. 1721 21st Street, Santa Monica, CA, 90404

 

3. Timing: The Sweepstakes begins on  November 17, 2008 at 12:00 p.m. Pacific Standard Time ("PST") and ends on December 19, 2008 at 11:59 p.m. PST (the "Promotion Period"). Sponsor's computer is the official time-keeping device for the Sweepstakes.

 

4. How to Enter:

 

a. To Enter Online: During the Promotion Period, visit: www.hollywoodpreviews.com.  Then, follow the links and instructions to complete and submit the registration, including his/her email address, first name, last name, address (no PO Boxes), city, state, zip code, gender, date of birth and daytime telephone number (including the area code. You automatically will receive one (1) entry into the Sweepstakes.

 

Limit: Each participant may enter one (1) time per day regardless of method of entry during the Promotion Period. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than one entry per day by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's entries and that participant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder.

 

5. Drawing: Sponsor's decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. Administrator will randomly select the potential Sweepstakes winners from all eligible entries received during the Promotion Period, on or about January 5, 2009. The potential winners will be notified by email, mail or phone. Any potential winner will be required to provide a valid mailing address and email address within three (3) days, or he/she forfeits prize. P.O. Boxes are not permitted. The potential Grand Prize winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Sponsor, within five (5) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim his/her prize. If a potential winner cannot be contacted, fails to sign/return the Affidavit of Eligibility, Liability & Publicity Release within the required time frame (if applicable), or if prize or prize notification is returned as undeliverable, potential winner forfeits the prize. The potential winners must continue to comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible online and mail-in entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Grand Prize and Weekly Prizes will be fulfilled within one (1) year after winner confirmation.

 

6. Prizes: ONE (1) GRAND PRIZE: One (1) Private Hometown Screening of a film for winner and up to 100 guests.  Actual movie awarded at Sponsor's sole discretion (ARV $500.00); One (1) Sony CyberShot Digital Camera  (ARV:$499.99); One Hundred (100) prize packs consisting of Paul Blart: Mall Cop and The King Of Queens merchandise (ARV $10 each).  Total ARV of the Grand Prize is: $1,999.99. FIVE (5) FIRST PRIZES: One (1) Sony CyberShot Digital Camera (ARV $499.99); One (1) prize pack consisting of Paul Blart: Mall Cop and The King Of Queens merchandise (ARV $10.00).    Total ARV of each First Prize is: $509.99.00.  Total ARV of All Prizes is:$4,549.94

 

A private hometown screening of 'Paul Blart: Mall Cop' in winner's home city consisting of rental of a theater screen for the Grand Prize winner and up to one hundred (100) guests, subject to theater availability, general release date and Sponsor's discretion. Screening is for one (1) showing only. Grand prize winner may choose from the following times, which are subject to approval by the theater selected by Sponsor's prize supplier providing this portion of the Grand Prize: Monday through Thursday during business hours or Saturday or Sunday morning matinee time period only. There are no screening opportunities on Friday. If a theater in the Grand Prize winner's immediate town is not playing the selected film, then the screening shall take place at the next closest theater to the Grand Prize winner's hometown, determined by Sponsor's prize supplier, in its sole discretion. Screening is subject to usual MPAA ratings and corresponding age restrictions for Grand Prize winner and guest attendance. If the Grand Prize winner or a screening guest is a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian must accompany him/her, and such person will be deemed one of the one  hundred (100) allotted guests. All expenses associated with traveling to and from the theater are the sole responsibility of the Grand Prize winner and his/her respective guests. All other expenses, including, but not limited to, food, drink, other concessions and any other expenses not specifically mentioned herein are the sole responsibility of Grand Prize winner and his/her respective guests, as applicable. Once screening date is determined, no change, extension, or substitution is permitted, except by Sponsor in its sole discretion. Grand Prize winner is responsible for admittance of guests to screening subject to standard theater policy.  Winner must request dates for hometown screening to occur within two (2) months of winner confirmation or forfeit that portion of the prize.

 

For all Prizes: Clothing sizes, colors, styles and all other details to be determined by Sponsor in its sole discretion. The ARV of merchandise prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Prizes are non-transferable and no substitution will be made except as provided herein in the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize or prize component for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the Promotion Period.

 

7. Release: By receipt of any prize, each winner agrees to release and hold harmless iMedia International, Inc., Sony Pictures Television Inc. (and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any and all claims or causes of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize.

 

8. Publicity: Except where prohibited, participation in the Sweepstakes constitutes each winner's consent to Sponsor's, Sony Pictures Television Inc's and their agents' use of winner's name, likeness, photograph, prize, voice, opinions and/or hometown and state for promotional purposes in any media now known or hereafter devised, worldwide, in perpetuity without further payment or consideration.

 

9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

 

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in cellular networks, phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize. If, for any reason, an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Sweepstakes, provided that, if it is not possible to award another entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

 

11. GOVERNING LAW, JURISDICTION, ARBITRATION: Any controversy or claim arising out of or relating to (i) the Sweepstakes, (ii) the awarding or redemption of any prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other states' laws.  Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability, or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure 1280 et seq.  The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/.  The arbitration shall be a confidential proceeding, closed to the general public.  The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator's award is based.  The parties will share equally in payment of the arbitrator's fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys' fees and other expenses to the same extent as if the matter were being heard in court).   Nothing in this paragraph shall affect either party's ability to seek from a court injunctive or equitable relief at any time.

 

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
